Corporate Transactions

ShapiroCroland corporate practice offers clients a combination of comprehensive legal expertise and practical business counseling that enables our clients to set goals, analyze, evaluate and find solutions, and achieve the desired results no matter the nature or complexity of their business transactions.

Whether acting as general or special counsel, we advise our clients on a wide variety of issues affecting commercial, financial, and industrial enterprises. Our clientele includes publicly traded companies, closely held family businesses, small-sized and medium-sized businesses, nonprofit organizations, investment companies, trade associations and individuals. We provide counsel throughout all stages of the corporate cycle, ranging from those that are in start-up mode to those that are winding down. In addition to a focus on transactions for New York and New Jersey area based clients, we are often called upon to handle transactions or act as local counsel regarding various aspects of complex business transactions of out-of-state corporate clients. We are often called upon to support in-house corporate counsel on complex matters requiring our varied areas of expertise.

Our existing corporate client base is engaged in a broad range of industries, including banking, real estate development, real estate management, manufacturing, retailing, wholesale distribution, various high-tech enterprises and professional services.

Corporate Finance

ShapiroCroland regularly represents lenders, borrowers and other parties in connection with a wide variety of corporate finance transactions. These transactions include debt financings with banks, insurance companies and other institutional lenders, venture capital financings, municipal bond financings, merger and acquisition financing, management and leveraged buy-outs, and spin-offs; restructurings; and recapitalizations. We assist lenders or borrowers in negotiating, documenting and closing transactions, identifying, evaluating and resolving issues, and working towards attaining mutual agreement on key triggers and terms needed to consummate the transaction.

Mergers and Acquisitions

ShapiroCroland corporate attorneys have represented clients in negotiating and structuring a wide variety of domestic and international financial and strategic mergers and acquisitions and divestiture transactions. We assist our clients in structuring, negotiating and consummating the transaction both from the “buy” side and the “sell” side. Our services range from handling all legal aspects of the transaction to working in coordination with our clients’ in-house counsel. Our experience encompasses many industry groups and includes both negotiated and contested transactions. Recognizing that business combinations are often critical to our clients’ business objectives, we pride ourselves on consummating transactions through a combination of legal acumen, business judgment and creativity.
